Terms & conditions.
These Terms govern access to the public HECTX experience and Hecto PMX interface. They do not replace the definitive documents governing any product, issuance, custody, settlement or transaction.
Operator and agreement
Hecto Finance Limited, a British Virgin Islands company, operates the Hecto PMX interface unless a product-specific notice identifies another operator. “Hecto,” “we,” “us” and “our” refer to that operator and its lawful successors and assigns. By using the service, or by selecting the acceptance control where presented, you agree to these Terms, the Privacy Policy and the Risk Disclaimer. If you act for an organization, trust, fund or other person, you represent that you have authority to bind it, and “you” includes both you and that person. If you do not understand or accept these Terms, do not use the service.
Document hierarchy
These Terms govern the interface. A term sheet, offering memorandum, subscription agreement, instrument terms, constitutional document, custody agreement, administrator notice, transaction confirmation or other definitive document may govern a specific HECTX product or transaction. If there is a conflict, the definitive product or transaction document prevails for that product or transaction; these Terms continue to govern the interface. Marketing content, interface labels, FAQs, support messages, simulations and summaries do not amend a definitive document.
What Hecto PMX provides
Hecto PMX presents public information about an intended private-markets index concept and, for eligible authenticated users, may provide account, portfolio, NAV, market-intelligence, minting, activity, withdrawal, support and related workflows. The interface may prepare, transmit or display an instruction, but the applicable issuer, administrator, custodian, wallet, network or settlement system determines whether that instruction is accepted and completed. Unless definitive documents expressly say otherwise, the interface itself is not an exchange, broker, dealer, investment adviser, bank, custodian, trustee, transfer agent or fiduciary.
Public content and Demo mode
Public pages are provided for product discovery and general information. Demo mode contains simulated, disposable browser-local data for evaluating the interface. A Demo balance, NAV, quote, mint, holding, reward, market, activity or withdrawal is not live, is not owned by you, and is not evidence of a transaction or entitlement. Public or Demo content must not be used as a substitute for current definitive documents, live account records or independent diligence.
Eligibility and geographic restrictions
You must be at least 18, have legal capacity and satisfy all eligibility requirements stated in the interface and definitive documents. Unless Hecto expressly confirms otherwise for a particular product, you must not be a U.S. Person as defined in the applicable product documents. You must not be a sanctioned or prohibited person, be located in or ordinarily resident in a prohibited jurisdiction, use the service where doing so is unlawful, or attempt to evade a geographic, investor-classification, transfer or compliance control. Availability in a country does not mean the service or a product is lawful, registered or suitable there.
Identity, eligibility and continuing compliance
Access may require verification of identity, beneficial ownership, control, investor category, jurisdiction, source of funds or wealth, tax status, wallet ownership and sanctions or anti-money-laundering status. You must provide accurate, complete and current information and notify Hecto of a material change. Hecto and relevant providers may repeat checks, request evidence, decline onboarding, delay or reject an instruction, restrict or freeze access, or make a legally required report. Passing a check once does not create a continuing right to use a feature.
Accounts, email access and wallets
You are responsible for your email account, devices, authentication factors, wallet, keys, recovery material and all persons authorized to use them. Never disclose a private key or seed phrase to Hecto. You must promptly report suspected unauthorized access and must not connect a wallet or act for an account you do not lawfully control. An authenticated instruction may be treated as authorized, subject to required compliance and transaction controls. Wallet connection alone does not prove identity, ownership, eligibility or entitlement. Hecto cannot restore a user-controlled wallet or reverse a transaction solely because credentials were lost, compromised or misused.
HECTX and underlying exposure
The name HECTX, an index value, a constituent list or a token balance does not by itself establish the legal nature of the product. Unless definitive documents expressly grant such rights, HECTX does not give you direct title to shares of a referenced private company, nor direct voting, inspection, dividend, redemption or enforcement rights against that company. The issuer, assets, liabilities, custody or contractual chain, valuation methodology, fees, transfer restrictions and holder rights are exclusively those stated in the definitive product documents.
Composition, NAV and market information
Composition, NAV, account value, historical charts, market prices, premiums, discounts, deltas, scenarios and related intelligence may be estimated, delayed, rounded, modeled, unaudited or supplied by third parties. A published NAV is not necessarily a price at which you can mint, buy, sell, redeem or withdraw. A premium or discount does not guarantee an arbitrage, profit or available trade. You must check the source, timestamp, methodology, currency, fees, liquidity and binding transaction terms before acting.
Quotes and minting
A mint quote is valid only for the stated account, asset, amount, network and validity period. It is not a reservation of capacity unless expressly stated. A quote may expire or be withdrawn before acceptance where permitted by definitive documents or law. Before confirming, review the quoted NAV, units, rounding, fees, settlement asset, destination, expiry and disclosures. Confirmation may create a binding and, after the disclosed point, irrevocable instruction. HECTX is not issued merely because funding was initiated; issuance is complete only when the authoritative product and ledger records show final completion. A failed, pending or timed-out instruction may still have a durable reference and must be reconciled rather than blindly resubmitted.
Settlement assets and networks
A transaction may use Canton Network, Ethereum or another approved rail and may involve USDCX, CC, a Hecto stablecoin or another supported settlement asset. You must use the exact asset, network, contract and destination shown in the live instruction. Stablecoin value, network finality, wallet compatibility, gas, conversion and third-party fees are not guaranteed. Sending an unsupported asset, using the wrong network, changing a transaction payload or missing a cutoff may cause delay or permanent loss. Hecto is not required to credit an unmatched transfer until it is identified, verified and accepted under the applicable process.
Withdrawals and transfers
Withdrawals and transfers are subject to available eligible balances, verified destinations, minimums and maximums, lockups, liquidity, product terms, network and operational windows, fees, compliance review and legal restrictions. A displayed balance is not necessarily immediately withdrawable. You are responsible for the accuracy, control and compatibility of a destination. A destination label is for convenience and does not verify ownership. A submitted instruction may be irreversible, and recovery from an incorrect, unsupported or inaccessible destination may be impossible.
Market and liquidity features
Market-intelligence content is informational unless an expressly enabled execution workflow states otherwise. A “buy,” “mint” or similar comparison may illustrate economic incentives but is not a recommendation or assurance of access, liquidity or profit. Any liquidity feature, pool, lock, stablecoin pair, reward, yield or incentive shown as planned, preview, indicative or Demo is not available and creates no entitlement. If a live liquidity service is introduced, separate pool, smart-contract, fee, reward, custody, withdrawal and risk terms will apply and must be accepted before use.
Fees, taxes and reporting
Product, administration, custody, conversion, spread, network, gas, mint, transfer, pool, withdrawal or other costs may apply where disclosed in the relevant interface and definitive documents. Third-party costs can change without Hecto’s control. You are responsible for obtaining independent tax advice, determining your tax residence and obligations, and making required filings and payments. Hecto or another provider may request tax information, report transactions or withhold amounts where legally required.
No advice, offer, guarantee or fiduciary duty
Unless a definitive document expressly states otherwise, content is general information and not investment, legal, accounting, tax, valuation or other professional advice; an offer or solicitation; a personalized recommendation; or a representation that a product is suitable for you. No return, yield, liquidity, capital protection, price, valuation, issuance, settlement or exit is guaranteed. Your use of Hecto PMX does not create an advisory, agency, partnership, joint-venture, trustee or fiduciary relationship. Obtain independent advice appropriate to your circumstances and jurisdiction.
Electronic records and communications
You consent to receiving documents, notices, confirmations and records electronically through the interface or the contact details associated with your account, to the extent permitted by law. You are responsible for keeping those details current and retaining copies. A product-update preference is separate from operational and legal communications. Marketing communications require the applicable permission and may be withdrawn without affecting service notices necessary for an account or transaction.
Prohibited conduct
You must not use the service for unlawful activity, fraud, deception, money laundering, terrorist financing, sanctions evasion, market manipulation, wash trading, front-running, abusive arbitrage, unauthorized fundraising, infringement or tax evasion; submit false information; impersonate another person; conceal beneficial ownership; compromise a wallet, account, contract, network or control; introduce malicious code; scrape or automate use in a manner that burdens or bypasses the service; reverse engineer except where law prevents restriction; interfere with availability or security; or help another person do any of those things.
Third parties and service availability
Hecto PMX relies on wallets, networks, smart contracts, query services, identity and compliance providers, data sources, issuers, administrators, custodians, banks, settlement providers, hosting and other third parties. Their terms, outages, errors, acts and omissions are outside Hecto’s direct control. Hecto may correct information and change, suspend, limit or discontinue any part of the service for maintenance, security, legal, compliance, product, provider or risk reasons. Hecto does not guarantee uninterrupted access, data accuracy, execution time, network finality or recovery from a third-party failure.
Intellectual property and feedback
Hecto PMX, its code, design, text, data compilation, documentation, logos and marks are protected by intellectual-property law and remain owned by Hecto or their respective licensors. Subject to these Terms, Hecto grants you a personal, limited, revocable, non-exclusive, non-transferable and non-sublicensable right to use the interface for its intended lawful purpose. No other right is granted. If you provide feedback, you grant Hecto a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate it without restriction or compensation, provided that Hecto remains responsible for its handling of any personal data in the feedback.
Disclaimers, indemnity and liability
To the fullest extent permitted by law, the interface is provided “as is” and “as available,” and Hecto disclaims implied warranties of title, merchantability, fitness, non-infringement, accuracy, security, availability and error-free operation. You will indemnify Hecto and its affiliates, officers, directors, employees and agents against third-party claims and reasonable costs arising from your unlawful use, breach of these Terms or infringement of another person’s rights. Hecto is not liable for indirect, incidental, special, exemplary, punitive or consequential loss, or loss of profit, opportunity, data or digital assets. To the fullest extent permitted by law, Hecto’s aggregate interface liability is limited to US$100. Nothing excludes fraud, willful misconduct or any warranty, remedy or liability that applicable law does not permit to be excluded or limited.
Suspension and termination
Hecto may restrict, suspend or terminate access with or without prior notice where reasonably necessary for security, suspected breach, eligibility, compliance, law, provider availability, operational risk or discontinuation. You may stop using the interface at any time. Ending interface access does not cancel a completed transaction, remove an outstanding obligation or alter rights under definitive product documents. Provisions that by nature should survive—including ownership, disclaimers, liability, indemnity, dispute resolution and recordkeeping—continue after termination.
Governing law and dispute resolution
These Terms and non-contractual matters arising from them are governed by British Virgin Islands law, without regard to conflict-of-law principles, unless mandatory law or definitive product documents require otherwise. Before starting a claim, you must send legal@hecto.inc a written description and supporting material and allow 60 days for good-faith settlement discussions. An unresolved dispute will be determined individually by confidential, binding arbitration seated in the British Virgin Islands, in English, before one arbitrator under the American Arbitration Association Commercial Arbitration Rules. To the extent permitted by law, claims may not proceed as a class, collective or representative action, and each party waives jury trial. BVI courts have jurisdiction for permitted interim relief and enforcement. Mandatory statutory rights remain unaffected.
Changes, assignment and general terms
Hecto may update these Terms to reflect a product, legal, security or operational change. A material change may require notice and renewed acceptance before continued use. You may not assign your rights or obligations without Hecto’s written consent; Hecto may assign them in connection with a restructuring, transfer of the service or other lawful transaction. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. These Terms and the incorporated documents are the entire agreement concerning the interface. Questions and legal notices may be sent to legal@hecto.inc.
